Terms of Service

1. Agreement

These Terms of Service ("Terms") are an agreement between you and Uplevel Technologies, Inc., the company that operates Uplevel ("Uplevel," "we," "our," or "us"). By creating an account, joining a workspace, or using Uplevel, you agree to these Terms and our Privacy Policy. If you use Uplevel for an organization, you represent that you have authority to bind it to these Terms.

2. The service

Uplevel is a cloud-based CRM for real estate professionals. Features may include contact and deal management, email and communications, calendars and tasks, marketing, websites, files, integrations, reporting, and AI-assisted workflows. We may improve, add, remove, or change features over time. Some features require a paid plan, a supported third-party account, or separate terms presented when you enable them.

3. Accounts and workspaces

• You must provide accurate information and keep it current.
• You are responsible for protecting your credentials, devices, and connected accounts and for activity performed through your account.
• Workspace owners and administrators control membership, roles, settings, and shared workspace content. You are responsible for obtaining authority to upload, use, and share content through a workspace.
• Tell us promptly at [email protected] if you suspect unauthorized access.

4. Connected services and Google

You may authorize Uplevel to connect to Google or another third-party service. You choose which integrations and features to enable and are responsible for the connected account, its permissions, and your use of data obtained from it. You can disconnect a service in Uplevel and may also revoke access with the provider.

Google features are subject to Google's applicable terms and policies. Uplevel requests access only for the features you select, including Gmail, Google Calendar, Google Tasks, or files you explicitly choose through Google Drive. Our collection and handling of Google user data is described in the Google user data section of our Privacy Policy. Third-party services are operated by their providers, and we are not responsible for changes, outages, suspension, or data handling outside Uplevel's control.

5. Acceptable use

You may not use Uplevel to:

• Break the law, violate another person's rights, or facilitate wrongdoing.
• Send spam or unlawful marketing, or contact people without any consent required by applicable email, calling, texting, privacy, or real estate rules.
• Upload malware, disrupt the service, probe vulnerabilities, or evade limits.
• Access another person's account or data without authorization, or use connected data for surveillance, profiling, advertising, or data brokerage.
• Misrepresent identity or affiliation, infringe intellectual property, or submit content you do not have the right to use.
• Reverse engineer or resell the service except where law or a written agreement with us permits it.

We may investigate suspected abuse and limit or suspend access when reasonably needed to protect users, third parties, or the service.

6. Customer content and privacy

You and your workspace retain ownership of content you provide. You grant us a limited right to host, copy, process, transmit, and display that content only as needed to operate, secure, support, and improve the service and to perform actions you request. You are responsible for notices, permissions, retention choices, and lawful bases required for the personal information you place in Uplevel.

We handle personal and Google user data as described in our Privacy Policy. We do not use customer content or Google user data to train generalized or shared AI models.

7. AI-assisted features

AI-generated suggestions can be incomplete or incorrect. You are responsible for reviewing outputs and for decisions, communications, and actions taken from them. Uplevel is not a substitute for legal, tax, financial, fair-housing, or other professional advice. Features that act externally may ask for your approval, but you remain responsible for the resulting action.

8. Uplevel materials and feedback

Uplevel and its software, designs, trademarks, and documentation are owned by us or our licensors and are protected by intellectual-property law. We grant you a limited, non-exclusive, non-transferable right to use the service during your subscription in accordance with these Terms. If you provide feedback, you allow us to use it without restriction or compensation, but we will not identify you publicly without permission.

9. Suspension, cancellation, and deletion

You may disconnect integrations at any time and may close your account from Settings → My profile. Workspace owners may cancel their workspace subject to any active billing, telephone-number, domain, or other commitments shown in the product. Closing your personal account deletes a workspace when you are its only member; shared workspace business records may remain for the other members. We may suspend or terminate access for a material breach, nonpayment, unlawful use, security risk, or when required by law. Where practical, we will provide notice and a chance to remedy the issue.

10. Disclaimers

To the extent permitted by law, Uplevel is provided "as is" and "as available." We do not guarantee uninterrupted or error-free operation, particular business results, or the continued availability of a third-party service. Nothing in these Terms excludes a warranty or right that cannot legally be excluded.

11. Limitation of liability

To the fullest extent permitted by law, Uplevel Technologies, Inc. and its affiliates, officers, employees, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data, arising from or related to the service. These limits do not apply where prohibited by law.

12. Changes

We may update these Terms as the service or law changes. We will post the revised Terms, change the effective date, and provide additional notice when a change is material. Continuing to use Uplevel after the revised Terms take effect means you accept them.
